GENERAL TERMS AND CONDITIONS

1 – Scope of Application

1.1 These General Terms and Conditions of Sale (GTCS) apply to the sale and distribution of photovoltaic (solar energy) products by Green Power Solution.

1.2 These GTCS prevail over any other agreement unless otherwise agreed in writing.

1.3 Special Terms and Conditions (STC) may supplement these GTCS. In case of conflict, STC shall prevail.

1.4 Placing an order implies full and unconditional acceptance of these GTCS.

1.5 Catalogs, brochures, advertisements, or studies are for information purposes only and have no contractual value.

2 – Orders

2.1 Placing Orders

All orders must be submitted in writing and include:

Full customer details
Product references and quantities
Agreed purchase price
Delivery date and location

Orders become final only after written acceptance by Green Power Solution.

An acknowledgment will be sent within one week. If no confirmation is received, the order is deemed not accepted.

2.2 Refusal of Orders

Green Power Solution may refuse an order if:

The customer’s solvency is not established
The order volume is unusually high
The company cannot fulfill the order

2.3 Modification or Cancellation

Any modification after 24 hours requires written approval.

If cancelled after acceptance, the customer must compensate for incurred losses.

3 – Prices

3.1 Prices are based on the official price list valid on the order date and are exclusive of VAT and shipping costs.

3.2 Recommended resale prices are non-binding.

3.3 Prices may be adjusted if material costs increase by 5% or more.

3.4 Discounts apply only to specific promotional offers.

3.5 Special discounts may be withdrawn with one month’s notice in case of non-payment.

4 – Terms of Payment

4.1 Payment Terms

Invoices are payable in full upon order unless otherwise agreed in writing.

4.2 Payment by Bill of Exchange

Must be returned within 8 days of invoice date.

4.3 Definition of Payment

Payment is complete only when funds are received.

4.4 Late Payment Penalties

Late interest: three times the legal interest rate
Missed installment: full balance becomes due
Legal recovery: fixed indemnity plus recovery costs

4.5 Suspension of Payments

Payments may not be suspended without written approval.

5 – Deliveries

5.1 Delivery Times

Delivery times are indicative and may vary due to external factors.

5.2 Risk and Transport

Deliveries follow Incoterm 2020 EXW (Ex Works), France.

Risk transfers when goods are made available at the warehouse.

5.3 Inspection of Goods

Customers must inspect goods upon delivery and notify damages within 3 days.

5.4 Product Acceptance

Claims must be submitted within 10 days. Confirmed defective products will be replaced only.

5.5 Suspension of Deliveries

Deliveries may be suspended in case of non-payment.

6 – Force Majeure

Neither party is liable for failure due to force majeure events such as natural disasters, strikes, wars, or embargoes.

If force majeure continues for more than one month, either party may terminate the contract.

7 – Retention of Title

Ownership transfers only upon full payment.

Customer must insure goods against all risks.

8 – Warranty and Liability

Warranty is limited to repair or replacement of defective parts.

Total liability shall not exceed 50% of the product amount paid.

9 – Intellectual Property

Green Power Solution retains ownership of its brand and intellectual property.

Unauthorized use may result in legal action.

10 – Confidentiality

Both parties agree to maintain confidentiality during the contract and for 10 years after termination.

11 – Data Protection and Privacy

Personal data processing complies with GDPR and applicable data protection laws.

12 – Ethics and Compliance

Customers must comply with anti-corruption, sanctions, labor, environmental, and competition laws.

Breach may result in suspension or termination of contract.

13 – Domicile and Jurisdiction

Disputes fall under the exclusive jurisdiction of the courts of Rennes, France.

14 – Applicable Law

These GTCS are governed by French law.
